Salesforce agrees to buy Braze for $5.66 billion: what the cash deal would change
Braze shareholders would receive $47.50 a share in cash. The proposed acquisition is expected to close in Salesforce’s fiscal 2028, but still needs shareholder and regulatory approvals.

Salesforce signed a definitive agreement to acquire customer-engagement platform Braze for about $5.66 billion in enterprise value. Braze Class A shareholders would receive $47.50 in cash per share.
The companies expect a fiscal 2028 closing, subject to Braze shareholder approval, regulatory approvals and other conditions. Salesforce says Braze’s real-time engagement tools would complement its data, CRM, agent and marketing products.
The agreement values Braze at about $5.66 billion
Salesforce said it signed a definitive agreement to acquire Braze for approximately $5.66 billion in enterprise value. Holders of Braze Class A common stock would receive $47.50 in cash per share. This is an announced all-cash agreement, not a completed acquisition.
Braze adds real-time, cross-channel engagement
Braze processes live customer behavior and coordinates messages across apps, websites, email, SMS, WhatsApp and other channels. Salesforce says those capabilities are intended to complement Data 360, Customer 360, Agentforce and SIForce after closing. The announcement says Braze serves about 2,770 customers.
The closing window stretches into fiscal 2028
The companies expect the transaction to close during Salesforce’s fiscal 2028. It still requires Braze shareholder approval, required regulatory approvals and other customary conditions, so timing and completion are not guaranteed.
Braze says it will keep building under its own name
Braze co-founder and chief executive Bill Magnuson said the company would continue building as Braze and investing in its customer and partner community. Salesforce frames the planned combination as a way to connect live engagement decisions with broader customer data, marketing, commerce, sales and service.
Salesforce did not change FY27 guidance
Salesforce said it does not anticipate a change to its fiscal 2027 guidance because of the agreement. It has not issued fiscal 2028 guidance and did not update long-term targets. Reuters reported Salesforce shares were down 2.6% in premarket trading, a short-term market reaction rather than evidence that the deal will close or deliver its expected benefits.
