Meta launches $35 billion in equity offerings and maps a possible $60 billion follow-on plan

The company has launched about $35 billion of common and convertible-preferred offerings. A separate, up-to-$60 billion Class C at-the-market program is only contemplated for after the shares begin trading.

Meta has opened two equity offerings worth about $35 billion and says the proceeds would support general corporate purposes, including artificial-intelligence infrastructure.

The headline ceiling can reach $95 billion only if a separate future Class C program is later established and used. Meta has not entered that program, set its timing or guaranteed any sales.

What is being sold now

Meta’s October 26 announcement launches two transactions totaling about $35 billion: $22.5 billion of Class A common stock under forward-sale agreements and 250 million depositary shares expected to represent $12.5 billion of mandatory-convertible preferred stock. The two instruments have different settlement mechanics, but both are active offerings rather than completed proceeds.

Why $95 billion needs a qualifier

The additional $60 billion is a possible Class C at-the-market program, not an agreement already in place. Meta says the terms and timing are undetermined and gives no assurance that a program will be established or that any Class C shares will be sold. Adding it to the launched package describes maximum potential capacity, not cash raised today.

The AI spending context

Meta says equity would add flexibility as it builds AI infrastructure. Its 2026 capital-spending forecast is $135 billion to $145 billion, and Reuters says the company reported negative free cash flow of $2.12 billion in the third quarter after positive $10.63 billion a year earlier. That reversal helps explain why financing mix matters alongside operating cash.

Balance-sheet scale and commitments

Reuters reported $82.45 billion of cash and marketable securities against $80.92 billion of long-term debt at September 30, plus about $825 billion of future commitments. Meta separately says it generated more than $97 billion of operating cash flow in the first nine months and ended the quarter with about $82 billion of liquidity.

What investors should watch next

Pricing and closing details for the current offerings come first. The preferred security is expected to settle around August 15, 2029, while final delivery under the forward sales is due by November 19, 2027. The Class C program cannot become relevant until the shares trade, expected in early 2027, and even then its creation and use remain optional.
