Corxel signs Amanat SPAC deal: why the $377 million funding figure is conditional
The proposed obesity-business listing includes a $300 million private financing commitment. Redemptions, closing conditions and the scope of the assets still matter.

Corxel US and Amanat Acquisition Corp announced a merger agreement on October 26 that would bring Corxel’s US obesity-drug business to Nasdaq. The companies project about $377 million in gross proceeds, including a $300 million private financing commitment. That figure assumes no shareholder redemptions and comes before transaction expenses.
Reuters independently reported the proposed listing and financing. Amanat’s SEC filing adds a useful distinction: the merger exchange ratio uses an implied Corxel equity value of $200 million. That valuation and the projected cash proceeds measure different things; neither means the transaction has closed.
Read the funding figures separately
A PIPE is a private investment in public equity, arranged here alongside the merger. The $300 million commitment is part of the announced financing package, not an additional sum to add to the $377 million headline estimate.
The SEC filing says PIPE investors can, subject to specified conditions, reduce their subscriptions by buying existing Amanat shares and retaining them through the vote without redeeming. Such purchases should not be counted again as a fresh, additive PIPE payment.
Redemptions affect available cash
Amanat’s public shareholders can redeem shares for their portion of the trust account. The final amount of trust cash therefore depends on their choices. Gross proceeds also differ from the cash left after transaction costs.
Corxel’s closing conditions include a separate $200 million cash test, calculated from remaining trust proceeds, PIPE proceeds and qualifying company cash capped at $75 million. This threshold is distinct from the identically sized equity valuation; it does not establish that $200 million has already arrived.
The deal covers a defined business
The announcement limits the transaction to Corxel US and its specified obesity assets, including CX11 and CX12. Corxel HK, the JX10 acute ischemic stroke program and other assets outside that perimeter remain outside the proposed listed business.
The companies describe CX11 as an investigational oral GLP-1 drug candidate and CX12 as a preclinical amylin candidate. Plans to finance a global Phase 3 program for CX11 concern further development, not an announced US marketing approval.
A listing still needs several steps
The companies expect completion in the first half of 2027. The SEC filing lists conditions including shareholder approval, an effective registration statement, Nasdaq listing approval and applicable antitrust clearance. Board approval and a signed agreement do not complete those steps.
The announcement also says a new company name and ticker will be disclosed before closing. Amanat currently trades as AMAN; readers should not mistake that existing ticker for confirmation that the proposed combined business is already trading.
What to watch in the next filings
The registration and proxy materials should provide the fuller terms for shareholders. Subsequent disclosures about redemptions, financing adjustments and the actual closing will help reconcile the announced funding estimate with cash ultimately available.
Corxel says the expected financing would support its planned development work and runway through 2029. That remains the company’s forecast: the cash received, trial timetable and spending can change. Financing news alone does not establish a drug’s safety, efficacy or regulatory outcome.
