Carrefour agrees €152 million Codifrance deal to expand French convenience network

The signed agreement covers a distributor serving about 3,100 customers, but closing still needs French competition approval and is expected in the first half of 2027.

Carrefour said on October 19 that it agreed to acquire French convenience-food distributor Codifrance from Colruyt Group for an enterprise value of €152 million. Reuters independently reported the agreement and expected timetable.

The announcement is not a completed takeover. Carrefour expects closing in the first half of 2027 after French competition approval and other customary conditions.

The agreement is signed, but the acquisition has not closed

Carrefour says it entered an agreement with Colruyt Group to acquire Codifrance at an enterprise value of €152 million. Completion is expected in the first half of 2027, subject in particular to prior approval from the French Competition Authority and other customary conditions.

Codifrance brings a national convenience-distribution footprint

According to the regulated announcement, Codifrance supplies about 3,100 customers in France, employs nearly 380 people and operates three distribution centers. It generated €307 million in sales in its 2025/26 financial year.

The buyer is targeting independent neighborhood retailers

Carrefour says the transaction would reinforce its convenience-retail business and add Codifrance’s customer relationships, logistics and distribution expertise. The group already supports independent retailers through its Proxi network, which has more than 1,500 stores.

The price is enterprise value, not a completed cash transfer

The €152 million figure is the stated enterprise value for the proposed transaction. It should not be read as proof that ownership has transferred or that regulators have approved the deal; both companies still face the stated closing steps.

What to watch before the expected 2027 closing

The decisive next milestone is French competition clearance, followed by satisfaction of the remaining conditions. Until closing, Codifrance remains the seller’s business and the announced customer, employee and logistics figures describe the operation Carrefour has agreed to buy.
